Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a binding agreement between you and LI MINGXIN, an individual operating under the laws of the People's Republic of China and doing business as PodText ("PodText," "we," "us," or "our"). They govern your access to and use of https://podtext.ai and the services made available through it (collectively, the "Service").

By creating an account, purchasing or using the Service, or otherwise accepting these Terms, you confirm that you are at least 18 years old, that you have read and accepted our Privacy Policy, and that you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Service Description

PodText is a digital, intangible, and immediately delivered software-as-a-service product for transcription and AI-assisted outputs. Depending on the features available to your account, the Service may accept audio, video, URLs, or text and create transcripts, subtitles, summaries, chapters, show notes, or other requested outputs. Features, supported formats, limits, and outputs may change over time.

3. Accounts and Security

You must provide accurate, current, and complete account and billing information, including an email address at which you can receive billing and service notices. You are responsible for all activity under your account and for safeguarding passwords, API keys, authentication methods, and other credentials. Do not share credentials in a way that permits unauthorized use.

You must promptly notify support@podtext.ai if you know or suspect that your account, credentials, or API keys have been used without authorization. We may require reasonable verification before restoring or changing account access.

4. Your Content and AI Processing

"Your Content" means audio, video, files, links, URLs, text, prompts, transcripts, metadata, and other materials that you submit, store, or generate through the Service. You retain ownership of Your Content.

You grant PodText a limited, non-exclusive license to host, store, copy, process, transmit, display, and create your requested outputs from Your Content only as needed to provide, secure, and operate the Service. This license lasts only as long as needed for those purposes, subject to the retention exceptions described in these Terms and the Privacy Policy.

You represent that you have all rights, permissions, notices, and consents needed for PodText to process Your Content, including any required permission from speakers, recording participants, copyright owners, and platform or data owners.

PodText may use vetted third-party transcription, AI inference, and media-processing providers to process Your Content only as needed to deliver the Service you request. PodText will not use or permit user content to train AI models without the user's explicit consent.

Automated transcripts and AI-assisted outputs may be incomplete, inaccurate, biased, or unsuitable for a particular purpose. You must review and verify all outputs before publishing them or relying on them, especially for legal, medical, financial, safety-critical, compliance, or other high-risk decisions.

5. Acceptable Use

You may not use the Service to:

• violate any law, regulation, court order, or third-party right, including copyright, privacy, publicity, confidentiality, or data-protection rights;
• upload or process recordings or other content without all necessary rights, notices, and consents;
• exploit or endanger minors, or create, possess, or distribute unlawful sexual or abusive content involving minors;
• create or distribute non-consensual intimate content or deceptively manipulated media, voice clones, impersonations, or deepfakes;
• introduce malware, malicious code, or material intended to damage, disrupt, or gain unauthorized access to systems or data;
• commit fraud, mislead others about identity or origin, facilitate unlawful surveillance, or impersonate a person or organization;
• scrape the Service, bypass security or usage controls, probe vulnerabilities, reverse engineer protected portions of the Service except where the law expressly permits it, or interfere with other users;
• resell, sublicense, or provide the Service as a competing hosted product without our written permission; or
• use the Service, its outputs, or extracted service data to develop or train a competing model or service.

We may investigate suspected misuse and take proportionate action, including removing content or restricting access, consistent with these Terms and applicable law.

6. Rights Complaints

If you believe content processed through the Service affects your copyright, trademark, privacy, publicity, or another legal right, email support@podtext.ai. Identify the content and where it appears, describe the right you believe is affected, explain your ownership or authorization to act, and provide your name and contact information. Include a good-faith statement that the information in your notice is accurate.

We may request additional information and may restrict or remove affected content while we investigate. This process does not limit any rights or remedies available under applicable law.

7. Plans and Credits

PodText may offer monthly and yearly subscriptions that renew automatically, as well as one-time pay-as-you-go ("PAYG") credit packs. The plan, included credits, features, limits, price, currency, and billing interval shown at checkout apply to your purchase.

Credits included with a subscription ("Subscription Credits") reset at the start of each billing cycle. Subscription Credits do not roll over. Credits purchased in a PAYG pack are called "PAYG Credits." PAYG Credits do not expire. Subscription Credits are used before PAYG Credits. Purchased PAYG Credits remain in your account after subscription cancellation, subject to these Terms.

If a transcription job fails or is cancelled before successful delivery, the product credits charged for that job will be restored when the Service records the failure or cancellation. Restoring product credits is not a monetary refund, does not return money to a payment method, and does not change the refund eligibility rules below.

8. Billing and Payment Processing

By starting a subscription, you authorize the applicable payment provider or processor to charge the payment method you select for each recurring billing period until you cancel. The price, currency, applicable taxes, and payment provider are shown at checkout. You are responsible for applicable taxes unless the checkout states that they are included or the law requires otherwise.

PodText may use Stripe, Waffo Pancake, or another payment provider or processor. The payment provider shown at checkout handles your payment under its applicable terms and may act as merchant of record. Full payment-card details are handled by the applicable PCI-compliant payment provider and are not stored by PodText.

If payment fails, we may retry the charge, ask you to update your payment method, limit paid features, or suspend the affected subscription. We may change future prices with notice required by applicable law; a price change does not alter an already-paid billing period.

9. Cancellation

You may cancel a subscription through the online billing portal available from your account. You may also contact support@podtext.ai for cancellation help, but email is not the only cancellation path.

Cancellation takes effect at the end of the current paid billing period. You retain subscription access until then, and no future renewal charge will be made. Subscription Credits continue to expire or reset according to the credit rules above and do not become PAYG Credits. Purchased PAYG Credits remain available after cancellation, subject to these Terms.

10. Refund Policy

The first subscription charge is refundable if you request the refund within seven (7) days of that charge and no more than 10% of the plan's included credits have been used. Renewal charges and later subscription charges are not refundable except as stated below or required by law.

A one-time PAYG pack is treated as wholly unused and refundable if you request the refund within seven (7) days of purchase, but only if both (a) no transcription credits of any kind have been charged to the account after that PAYG pack purchase and (b) the remaining unused PAYG balance is at least the number of credits bought in that pack. A partially or fully used PAYG pack is not refundable.

We will provide a full refund for a confirmed duplicate or erroneous charge. If a confirmed outage caused by PodText prevents use of the paid Service for more than 72 continuous hours, affected users may receive, as appropriate to the impact, a proportional refund, service credit, or subscription extension.

Except for the cases above and non-waivable statutory rights, refunds are not provided for used subscription periods, used credits, change of mind after the eligibility window, or suspension or termination resulting from a violation of these Terms. Nothing in this policy limits mandatory consumer or other statutory rights.

To request a refund, email support@podtext.ai from or identify your account email and include the relevant transaction ID and the reason for the request. We will acknowledge the request within two (2) business days. Approved monetary refunds are returned to the original payment method, ordinarily within 5–10 business days, subject to processing times of the payment provider and your bank.

11. Billing Disputes

Please contact support@podtext.ai before initiating a chargeback or other bank dispute so we can review the transaction and investigate suspected billing errors. We will correct confirmed errors and, where appropriate, issue a refund under Section 10. Contacting us does not waive any non-waivable rights or any deadline imposed by your payment provider or applicable law.

12. File Storage and Data

The Service may store Your Content and generated outputs to provide requested features. You are responsible for keeping independent backups of important content and exporting outputs you need. Storage is not a backup service, and we do not guarantee that content will remain available indefinitely.

You may delete eligible files or your account through available account tools. Deletion and retention practices are described in our Privacy Policy. Some data may be retained as reasonably necessary for legal obligations, security and fraud prevention, dispute resolution, accounting, backups, or enforcement of these Terms.

13. Third-Party Services

The Service relies on or may link to third-party services for functions such as hosting, authentication, transcription, AI inference, media processing, payments, and email. Your use of a third-party service may be subject to that provider's terms and privacy policy. PodText is not responsible for a third party's independent acts, services, or availability, but this does not exclude PodText's responsibility for its own obligations under these Terms or applicable law.

14. Intellectual Property

Except for Your Content, PodText and its licensors own the Service, including its software, interface, branding, documentation, and original content, and reserve all rights not expressly granted. Subject to these Terms, PodText gives you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose during your account's active term.

Feedback you voluntarily provide may be used by PodText without restriction or payment, provided that we do not identify you publicly without permission. These Terms do not grant you any right to use PodText's trademarks or branding.

15. Service Availability

We aim to operate the Service reliably, but do not guarantee uninterrupted, error-free, or secure access. Maintenance, capacity limits, provider outages, security events, legal requirements, and circumstances beyond reasonable control may affect availability. We may modify or discontinue features, but will provide notice where required by law and will not use this section to avoid obligations for prepaid paid service.

16. Termination

You may stop using the Service at any time and may cancel a subscription as described in Section 9. We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a security or legal risk, or if suspension or termination is required by law. Where reasonable, we will give notice and an opportunity to cure before termination.

If PodText terminates a prepaid paid Service without a breach by you, we will, where appropriate, provide a proportional refund for the prepaid, unused portion of that Service. Upon termination, your right to use the Service ends, but provisions that by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, indemnity, and dispute terms—will survive.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability.

Transcriptions and AI-assisted outputs are generated automatically and may contain significant errors or omissions. They are not professional legal, medical, financial, or other expert advice, and PodText does not warrant that they are accurate or fit for high-risk use. These disclaimers do not limit rights or warranties that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by law, PodText and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business opportunity, or data, arising out of or related to the Service or these Terms.

To the maximum extent permitted by law, PodText's aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the total amount you paid to PodText for the Service during the twelve (12) months immediately before the event giving rise to liability. These exclusions and limits do not apply where, and to the extent, liability cannot be excluded or limited under applicable law.

19. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PodText and its service providers from third-party claims, damages, losses, liabilities, and reasonable costs arising from Your Content, your unlawful or unauthorized use of the Service, your material breach of these Terms, or your violation of another person's rights. PodText will provide reasonable notice of a covered claim and allow you to control the defense, subject to our right to participate with counsel of our choice.

20. Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles, except where mandatory law requires otherwise. Before filing a claim, you and PodText agree to attempt informal resolution by contacting support@podtext.ai and allowing a reasonable time to respond. If a dispute cannot be resolved informally, it will be submitted to a competent court at the operator's domicile, unless applicable law gives you a non-waivable right to another venue.

21. Changes to These Terms

We may update these Terms to reflect changes to the Service, law, or business practices. For material changes, we will provide reasonable advance notice and target at least fourteen (14) days' notice where practicable. The updated date at the top will show when the revised Terms take effect. If you do not agree to the revised Terms, you must stop using the Service and cancel before they take effect. Continued use after the effective date constitutes acceptance where permitted by law.
